Scope of Services

1. Nature of Services

1.1 The Consultant provides structured strategic interrogation services delivered through the 4 Vector Model (“4VM”).

1.2 The Services consist of facilitated workshops, diagnostic discussions, analytical questioning, and structured decision-support frameworks designed to assist the Client in evaluating proposed strategic actions prior to commitment.

1.3 The Services are advisory in nature only.

2. What the Services Include

The Services may include:

a) Structured examination of strategic intent;
b) Capability gap identification;
c) Cultural alignment assessment;
d) Governance risk flagging;
e) Facilitated group interrogation sessions;
f) Written summary outputs (if agreed in writing).

All deliverables are limited to the scope expressly set out in the relevant proposal, engagement letter, or Statement of Work.

3. What the Services Do Not Include

Unless expressly agreed in writing, the Services do not include:

a) Strategy implementation;
b) Operational execution;
c) Project management;
d) Legal advice;
e) Financial, tax, or accounting advice;
f) Regulatory compliance advice;
g) Investment advice;
h) Preparation of formal board papers;
i) Ongoing advisory support beyond the agreed engagement period.

No implied services are included.

4. Client Responsibilities

4.1 The Client retains full responsibility for:

a) All strategic decisions;
b) Capital allocation;
c) Implementation;
d) Regulatory compliance;
e) Obtaining independent professional advice where required.

4.2 The Client acknowledges that the Consultant does not assume decision-making authority.

5. No Expansion of Scope

5.1 Any services outside the agreed scope must be documented in writing and may be subject to additional fees.

5.2 Informal discussions, commentary, or follow-up correspondence shall not constitute expanded scope unless expressly agreed.
