TERMS OF USE

4VM – Strategic Viability Stress-Test Framework

1. Definitions

“4VM” means the 4 Vector Model strategic decision stress-testing framework, including all methodologies, documentation, materials, diagnostic instruments, presentations, workshop content, written outputs, intellectual property, and associated branding.

“Services” means any workshop, advisory session, cohort programme, private facilitation, written material, diagnostic, or related service provided under the 4VM brand.

“Client” means any individual or organisation purchasing, attending, accessing, or using the Services.

2. Nature of the Services

2.1 4VM provides a structured analytical framework for interrogating strategic decisions prior to capital or operational commitment.

2.2 The Services are educational, diagnostic, and facilitative in nature.

2.3 4VM does not implement strategy and does not assume operational control of Client decisions.

3. No Professional Advice

3.1 4VM does not provide:

  • Legal advice

  • Financial advice

  • Investment advice

  • Tax advice

  • Accounting advice

  • Regulatory compliance advice

3.2 The Client remains solely responsible for obtaining independent professional advice where required.

4. No Guarantee of Outcomes

4.1 4VM provides structured interrogation of proposed decisions.

4.2 4VM does not guarantee:

  • Commercial success

  • Financial return

  • Risk elimination

  • Regulatory approval

  • Market performance

4.3 Implementation risk and strategic responsibility remain entirely with the Client.

5. Client Responsibility

The Client warrants that:

  • It retains full responsibility for strategic decisions.

  • It will exercise independent judgement.

  • It will not rely solely on 4VM outputs when committing capital.

  • It has authority to engage 4VM.

6. Intellectual Property

6.1 All intellectual property rights in 4VM remain the exclusive property of Scott Green.

6.2 No part of 4VM may be:

  • Copied

  • Distributed

  • Reproduced

  • Published

  • Reverse engineered

  • Adapted

  • Used to create derivative frameworks

  • Commercialised

Without prior written consent.

6.3 Participation grants a limited, non-exclusive, non-transferable licence for internal use only.

6.4 No ownership rights transfer to the Client.

7. Confidentiality

7.1 Each party agrees to treat confidential information disclosed during engagement as confidential.

7.2 Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.

7.3 Open cohort sessions involve multiple participants; 4VM cannot guarantee confidentiality between attendees.

8. Non-Recording

8.1 Recording, photographing, screen-capturing, or otherwise reproducing workshop content is strictly prohibited without prior written consent.

8.2 Unauthorised recording constitutes a material breach of these Terms.

9. Non-Circumvention

9.1 The Client agrees not to use knowledge of the 4VM methodology to replicate, repackage, or commercialise a competing framework.

9.2 The Client shall not attempt to bypass 4VM to exploit introductions, contacts, or proprietary methodology obtained through engagement.

10. Non-Solicitation

10.1 During engagement and for 12 months thereafter, the Client shall not solicit for employment or engagement any employee, contractor, or associate of 4VM without prior written consent.

11. Fees and Payment

11.1 Fees are payable in advance unless otherwise agreed.

11.2 Fees are non-refundable except where required by law.

11.3 Late payment may result in suspension or termination of Services.

12. Limitation of Liability

12.1 Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded under English law

12.2 Subject to clause 12.1, total liability arising out of or in connection with the Services shall be limited to:

The total fees paid by the Client for the relevant Service.

12.3 4VM shall not be liable for:

  • Loss of profit

  • Loss of revenue

  • Loss of business opportunity

  • Loss of goodwill

  • Loss of anticipated savings

  • Indirect or consequential loss

  • Strategic failure

  • Reputational damage

Whether in contract, tort, negligence, or otherwise.

13. Indemnity

The Client agrees to indemnify and hold harmless 4VM against claims arising from:

  • Strategic decisions made by the Client

  • Misuse of materials

  • Redistribution of proprietary content

  • Breach of these Terms

14. Force Majeure

4VM shall not be liable for delay or failure to perform obligations due to events beyond reasonable control, including but not limited to:

  • Illness

  • Technical failures

  • Internet disruption

  • Government restrictions

  • Acts of God

15. Termination

15.1 4VM may terminate Services immediately where:

  • Payment is not received

  • These Terms are breached

  • Conduct is unlawful or disruptive

15.2 Termination does not extinguish accrued rights or obligations.

16. Data Protection

Personal data will be processed in accordance with:

  • UK GDPR

  • Data Protection Act 2018

A separate Privacy Policy applies.

17. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions or representations.

18. Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force.

19. Variation

4VM reserves the right to amend these Terms at any time.
Updated Terms shall take effect upon publication.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
